1. Acceptance
These Terms govern your access to and use of Orchesly. By using the service, you agree to these Terms and the Privacy Policy. If you use Orchesly for an organization, you confirm that you are authorized to accept these Terms for it.
2. Eligibility and accounts
You must be legally able to enter these Terms and meet any minimum age or authorization requirements that apply where you live. Provide accurate account information, keep credentials secure, and promptly report suspected unauthorized access. You are responsible for activity under your account unless applicable law provides otherwise.
4. Acceptable use
Do not use Orchesly to break the law; harm, threaten, deceive, harass, or exploit others; distribute malware or unlawful content; access accounts or systems without permission; evade limits; disrupt the service; scrape or reverse engineer except where law permits; or develop or train competing models or services from protected Orchesly content without authorization.
5. User content
You retain rights in content you submit. You grant Orchesly a limited, worldwide, non-exclusive license to host, copy, transmit, display, modify for technical formatting, and otherwise process that content only as needed to operate, secure, improve, and support the service and features you request. You confirm that you have the rights and permissions needed for your content.
6. AI outputs and human review
AI features may produce incomplete, inaccurate, offensive, or unsuitable results and may generate similar results for different users. You are responsible for reviewing outputs, checking sources and rights, and using human judgment before relying on or sharing them, especially for legal, medical, financial, employment, safety, or other high-impact decisions.
7. Third-party services
Orchesly may connect to identity providers, AI providers, storage, links, integrations, or other third-party services. Their terms and privacy practices govern their services, and Orchesly is not responsible for third-party products or changes outside its control.
8. Subscriptions and fees
If Orchesly offers a paid plan, the price, billing period, included usage, renewal, cancellation, taxes, and refund terms shown at purchase or in a separate order apply. Unless stated otherwise or required by law, fees are non-refundable and access may be limited after failed or overdue payment.
9. Orchesly intellectual property
Orchesly and its licensors retain all rights in the service, software, designs, branding, documentation, and other materials they provide, excluding user content. These Terms give you a limited right to use the service and do not transfer ownership or grant rights to use Orchesly marks.
10. Feedback
If you voluntarily provide ideas or feedback, you allow Orchesly to use them without restriction or payment, while we do not claim ownership of unrelated confidential information or your user content.
11. Suspension and termination
You may stop using Orchesly at any time. Orchesly may suspend or terminate access when reasonably necessary for security, legal compliance, nonpayment, material or repeated breach, risk to users or the service, or discontinuation. Where practical, notice and an opportunity to export content may be provided, but immediate action may be necessary.
12. Disclaimers
To the extent permitted by law, Orchesly is provided “as is” and “as available.” We disclaim implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. Nothing in these Terms excludes rights or warranties that cannot lawfully be excluded.
13. Limitation of liability
To the extent permitted by law, Orchesly and its providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, revenue, data, goodwill, or business opportunity. Any aggregate liability will be limited to the greater of amounts paid for the service during the preceding 12 months or the minimum amount required by applicable law.
14. Responsibility for claims
To the extent permitted by law, if you use Orchesly for a business or organization, you will defend and indemnify Orchesly from third-party claims arising from your unlawful use, your content, or your material breach of these Terms. This does not apply where the claim results from Orchesly's own breach or misconduct.
15. Changes
We may update these Terms to reflect changes to the service, law, security, or business practices. We will post the revised Terms and update the date above; material changes may receive additional notice. Continued use after the effective date means you accept the revised Terms where permitted by law.
16. Applicable law
These Terms are governed by the law that applies under mandatory conflict-of-law and consumer-protection rules. Nothing here requires a dispute to be brought in a jurisdiction that applicable law does not permit, and mandatory local rights remain available.
17. Contact
For questions about these Terms, use the support or contact channel published in Orchesly or provided by the organization that gave you access.
